Teks sumber - Inggris SERVICE AGREEMENT
This Agreement (“Agreement”) dated on this 26th day of April, 2022 (the “Effective Date”) is made between ABC Ltd. (the “Client”) with an address of North Street xxx and XYC Ltd. (the “Service Provider”), with an address of South Street 543, for the purpose of setting forth the exclusive terms and conditions by which the Client desires to acquire the below described services from the Service Provider.
In consideration of the mutual obligations specified in this Agreement, the Parties, intending to be legally bound hereby, agree to the following:
Description of the Services. Client retains the above Service Provider, and the Service Provider agrees to perform for the Client, the services set forth in Exhibit A to this Agreement (the “Services”). Any Service outside of the scope as defined in Exhibit A to this Agreement will require a new Agreement for other services agreed to by the Parties.
Any Additional Services shall be provided to the Client upon written request to the Service Provider, and at such time, the Service Provider shall provide to the Client price quotes for any Additional Services requested.
Consideration/Compensation. In exchange for the full, prompt, and satisfactory performance of all Services to be rendered to the Client (as determined by the Client), the Client shall provide the Service Provider shall be compensated as set forth in Exhibit B.
The Service Provider will invoice the Client on the 25th day of each month. The invoice will include any and all services performed under this Agreement as well as any pre-approved expenses.
Payment will be due within 15 days of the invoice date. A late charge of $ 500 per month will be added to any invoice not paid on time.
Payments must be made to the Service Provider by credit card, money order, check, bank transfer, or any other approved method of payment accepted by the Service Provider.
Expenses. From time to time throughout the duration of this Service Agreement, the Service Provider may incur certain expenses that are not included as part of the Fee for the Services to this Agreement.
The Service Provider agrees to keep an exact record of any and all expenses acquired while performing the Services. The Service Provider will submit an invoice itemizing each expense, along with proof of purchase and receipt, every 7 days upon completion of such Services.
Penerjemahan - Indonesia PERJANJIAN LAYANAN
Perjanjian ini ("Perjanjian") tertanggal 26 April 2022 ("Tanggal Berlaku") dibuat antara ABC Ltd. ("Klien) dengan alamat North Street xxx dan XYC Ltd. ("Penyedia Layanan"), dengan alamat South Street 543, dalam rangka menetapkan syarat-syarat dan ketentuan eksklusif yang akan digunakan oleh Klien untuk memperoleh layanan yang diuraikan di bawah ini dari Penyedia Layanan.
Dengan mempertimbangkan kewajiban timbal balik yang dijelaskan di dalam Perjanjian ini, Para Pihak, dengan maksud untuk diikat secara hukum, dengan ini menyetujui hal-hal sebagai berikut:
Deskripsi Layanan. Klien menggunakan jasa Penyedia Layanan di atas, dan Penyedia Layanan setuju untuk menyediakan layanan-layanan yang ditentukan dalam Lampiran A Perjanjian ini ("Layanan") bagi Klien. Setiap layanan di luar cakupan sebagaimana ditentukan dalam Lampiran A dari Perjanjian ini akan memerlukan Perjanjian baru untuk layanan lain yang disetujui oleh Para Pihak.
Semua Layanan tambahan harus disediakan bagi Klien setelah Penyedia Layanan menerima permintaan tertulis dari Klien, dan pada waktu tersebut, Penyedia Layanan harus menyampaikan penawaran harga bagi Klien untuk Layanan Tambahan yang diminta tersebut.
Imbalan/Kompensasi. Sebagai imbalan atas pemberian layanan secara penuh, cepat, dan memuaskan yang akan diberikan kepada Klien (sebagaimana ditentukan oleh Klien), Klien harus memberikan Kompensasi kepada Penyedia Layanan sebagaimana dijelaskan dalam Lampiran B.
Penyedia Layanan akan menagih Klien pada tanggal 25 setiap bulan. Faktur akan mencakup setiap dan semua layanan yang diberikan berdasarkan Perjanjian ini serta biaya yang telah disetujui sebelumnya.
Pembayaran akan jatuh tempo dalam waktu 15 hari setelah tanggal faktur. Biaya keterlambatan sebesar $ 500 per bulan akan ditambahkan ke setiap faktur yang tidak dibayar tepat waktu.
Pembayaran harus dilakukan kepada Penyedia Layanan dengan kartu kredit, wesel, cek, transfer bank, atau metode pembayaran lain yang disetujui yang diterima oleh Penyedia Layanan.
Biaya. Dari waktu ke waktu selama durasi Perjanjian Layanan ini, Penyedia Layanan dapat menanggung biaya tertentu yang tidak termasuk sebagai bagian dari Upah untuk Layanan sesuai dengan Perjanjian ini
Penyedia Layanan setuju untuk membuat catatan yang tepat dari setiap dan semua biaya yang dikeluarkan saat menjalankan pemberian Layanan. Penyedia Layanan akan mengirimkan faktur yang merinci setiap pengeluaran, bersama dengan bukti pembelian dan tanda terima, setiap 7 hari setelah menyelesaikan pemberian Layanan tersebut.
