Such notice of a directors’ meeting need not be given in writing, but must be communicated to each director in a

reliable and effective manner and such director convening such meeting must ensure subject to the urgency of any

matter to be decided by the directors that as many directors as practicable are likely to be available to participate in

it.

It is important to recognise the difference in meaning between "practicable" and "possible", as was emphasised in the case below:

"Having considered the remarks of Scarman LJ and Sir Hugh Griffiths made in Dedman v British Building and Engineering Appliances Ltd [1974] 1 WLR 171 and Owen v Crown House Engineering Ltd [1973] 1 CR 511, the Honourable Madam Justice M Chan held that the term “as soon as practicable” under Clause 3 of the Supplemental Agreement should not be construed to mean simply “as soon as possible”, or to mean that the notice should be served as soon as it was physically capable of being served."
