A. THE SELLER
1. CAPACITY
1.1 The Seller is a company duly organised and validly existing under
the laws of England and Wales.
1.2 The Seller has the full right and title of the Shares (defined in the Share Purchase Agreement as the shares of the Company A), free from any Security Interest (defined in SPA).
1.3 The Seller has the requisite power and authority to execute this Agreement and perform its obligations and the transactions contemplated in this Agreement.
1.4 The execution of, and the performance by the Seller of its obligations under this Agreement will not:
1.4.1 result in a breach of any provision of its articles of association; or
1.4.2 result in a breach of any order, judgement or decree of any Competent Authority to which it is a party or by which it is bound and which is material in the context of the transactions contemplated by this Agreement.
1.5 Other than as referred to in this Agreement, no consents, approvals, authorisation or permits are required to be obtained by the Seller in connection with the execution and performance of this Agreement.
1.6 To the best of the Seller's knowledge, no insolvency proceedings have been commenced against the Seller and the Companies for its winding up or dissolution, nor has an insolvency administrator, liquidator or similar officer been appointed with respect to any or all of the Seller’s assets which would prevent the Seller and the Companies from fulfilling its obligations under this Agreement.

A. EL VENDEDOR
1. CAPACIDAD
1.1 El Vendedor es una sociedad debidamente organizada y regulada por las leyes de Inglaterra y Gales.
1.2 El Vendedor posee plenos derechos y plena propiedad de las Acciones (definidas en el Contrato de Compra de Acciones en calidad de acciones de la Sociedad A), y son libres de Garantías reales (tal y como se define en el Contrato de Compraventa).
1.3 El Vendedor tiene la facultad y autoridad necesarias para formalizar el presente Contrato y llevar a cabo las obligaciones y operaciones que contempla el mismo.
1.4 La ejecución y el rendimiento de las obligaciones del Vendedor a tenor de lo dispuesto en el presente contrato no:
1.4.1 incumplirán ninguna de las disposiciones de los estatutos sociales; o
1.4.2 incumplirán ninguna orden, sentencia o decisión de las Autoridades Competentes a las que se encuentre asociada o con las que esté unida jurídicamente y con las que mantenga alguna transacción contemplada en el presente Contrato.
1.5 Además de lo dispuesto en el presente Contrato, el Vendedor no necesitará obtener consentimientos, aprobaciones, autorizaciones o permisos en relación a la formalización y rendimiento del presente Contrato.
1.6 Al leal saber y entender del vendedor, no se ha comenzado ningún procedimiento de concursal contra el Vendedor y las Sociedades para su disolución, tampoco ha habido sospechas por parte de ningún administrador judicial u otro tipo de oficial respecto a los activos del Vendedor que habrían impedido cumplir las obligaciones del Vendedor y sus Sociedades conforme al presente Contrato.
