Source text - English В группе XXX большое количество контрактов заключаются с участием компаний, принадлежащих к юрисдикциям разных государств, исполнение договора может быть на территории третьей юрисдикции, а право, подлежащее применению, может быть отнесено к вышеперечисленным трем или четвертой, место судебного разбирательство может быть избрано сторонами в указанных четырех юрисдикциях или в пятой.
Проблема: можно ли быть уверенным в том, что при любых оговорках, избранных сторонами, принципы разрешения потенциальных споров из заключенных контрактов будут совершенно определенными и предсказуемыми для сторон? Не появятся ли неожиданные нормы, подлежащие применению вне зависимости от воли сторон?
Наше исследование для ответа на данный вопрос будет ограничено практикой стран ЕС и России.
Однако, первая проблема: какое право: только ли право какого-либо государства, имеющее статус международного или национального права или может быть избран вненациональный источник права (Принципы международных коммерческих договоров Унидруа, например).
"(13) Настоящий Регламент не препятствует сторонам включить в контракт указание о применении вненациональных норм права или международного договора.
(14) Если Сообщество в соответствующем правовом документе утвердит правила материального договорного права, включая примерные условия, то такой документ может предусматривать, что стороны могут сделать выбор в пользу применения этих правил".
Translation - Russian A lot of contracts executed by XXX company are concluded with the participation of companies of different jurisdiction, whereas the contract may be executed on the territory of another jurisdiction, and applicable law may be assumed as governed by the third or the forth jurisdiction, and the place of trial chosen by the parties may be located either in the said four jurisdictions, or in the fifth one.
The problem is: can one be sure that, notwithstanding warranties chosen by the parties, the principles of resolution of disputes which may arise out of the executed contracts shall be equal and predictable for the parties, and whether there shall appear any applicable acts of law?
To answer this question, we shall survey the legal practice of EU countries and Russia.
However, the first problem is: which law is applicable – only that of any country with the status of international or national law, or the parties may choose a non-State body of law (for instance, UNIDROIT Principles of International Commercial Contract).
*(13) This Regulation does not preclude parties from incorporating by reference into their contract a non-State body of law or an international convention.
(14) Should the Community adopt, in an appropriate legal instrument, rules of substantive contract law, including standard terms and conditions, such instrument may provide that the parties may choose to apply those rules”.

Source text - Russian Обсудив доводы кассационной жалобы **** отзыва на жалобу, изучив материалы дела, заслушав объяснения представителей лиц, участвующих в деле, проверив в порядке статей 284, 286, 287 Арбитражного процессуального кодекса Российской Федерации правильность применения судами первой и апелляционной инстанций норм материального и процессуального права, а также соответствие выводов в указанных судебных актах установленным по делу фактическим обстоятельствам и имеющимся в деле доказательствам, суд кассационной инстанции приходит к выводу, что решение суда первой инстанции и постановление суда апелляционной инстанции подлежат частичному изменению ввиду следующего.
Translation - English Having discussed the arguments set out in the cassation appeal of **** and in the objections, having studied the case files, having heard the explanations of parties' representatives, having verified proper application of substantive and procedural law standards by the first-instance and appellate-instance courts, in accordance with Articles 284, 286, 287 of the Arbitration Procedure Code of the Russian Federation, as well as compliance of conclusions made in the said judicial acts with the actual circumstances and the proofs established in the case, the cassation-instance court makes a conclusion that the decision issued by the first-instance court and the judgment issued by the appellate-instance court are subject to partial change due to the following:
