English to Spanish: Agreement of the sale of goods
Source text - English This Agreement for the Sale of Goods ("Agreement") made and effective this July 29, 1997, by and between XXX, Inc., a Florida Corporation ("Seller") and AAA S.A., a Buenos Aires, Argentina Corporation ("Buyer").
Seller desires to sell to Buyer, and Buyer desires to purchase from Seller, certain tangible personal property.
NOW, THEREFORE, in consideration of the mutual promises herein contained, the parties hereto agree as follows:
1. Sale.
Seller agrees to sell, transfer and convey to Buyer, and Buyer agrees to purchase the following tangible personal property (the "Goods"): One hundred (100) external modems U.S. BBB BBB V.34.
2. Price.
Buyer shall pay Seller for the Goods the sum of One Hundred Fifty Dollars ($150) per Modem. Buyer shall make payment of the purchase price in full within thirty (30) days following delivery of the Goods by Seller as provided herein, subject to Buyer's right of inspection as set forth in Section 4 below. In the event that the purchase price is not timely paid, in addition to its other remedies, Seller may impose, and Buyer shall pay, a late payment charge equal to one percent (1%) of the overdue amount each month.
3. Shipping.
Seller shall deliver the goods to a shipper (selected by Buyer) as follows: the Goods will be delivered by Seller to a shipper, to be determined, with facilities located within five miles of Miami International Airport. Buyer shall be solely responsible for the expenses associated with shipping. The risk of loss from any casualty to the Goods, regardless of the cause, shall be upon Buyer upon the delivery of the Goods to Buyer's shipper as set forth herein. When practicable, Seller will follow Buyer's requested shipping instructions. If none are requested, Seller will use its discretion in selecting an appropriate transportation method.
4. Right of Inspection.
Buyer shall have the right to inspect the goods on arrival at Buyer's facility. Within thirty (30) business days after delivery, Buyer must give notice to Seller of any claim with respect to the condition, quality or grade of the Goods or non-conformance to this Agreement, specifying the basis of the claim in detail. Seller may, at its option inspect the Goods at Buyer's facilities to confirm that the Goods do not conform. Failure of Buyer to comply with these conditions within the time set forth herein shall constitute irrevocable acceptance of the Goods by Buyer. In the event the Goods do not conform to this Agreement, Buyer's sole remedy and Seller's sole obligation, shall be at Seller's option to replace the Goods at Seller's expense or credit Buyer the amount of the purchase price for the non-conforming goods. Return shipping shall be the responsibility of Seller.
5. Identification of Goods.
Identification of the Goods shall not be deemed to have been made until both Buyer and Seller have specified that the Goods are to be appropriated to the performance of this Agreement.
6. Warranty.
Seller warrants that the Goods shall be of good material and workmanship and free of material defects for a period of ninety days following delivery to Buyer. If any of the Goods sold hereunder do not conform to this limited warranty, Buyer shall notify Seller not more than five days following the end of the warranty period and for any Goods that do not conform to this warranty, Buyer's sole remedy, and Seller's sole obligation, shall be to replace the defective Goods at Seller's expense or to refund the purchase price. EXCEPT AS SET FORTH HEREIN, SELLER MAKES NO WARRANTY TO BUYER WITH RESPECT TO THE GOODS, AND BUYER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
7. Transfer of Title.
Title to and ownership of the goods shall not pass from Seller to Buyer until Buyer has paid in full the purchase price to Seller.
8. Limitation of Liability.
In no event shall Seller be liable for any special, indirect, incidental or consequential damages arising out of or connected with this Agreement or the Goods, regardless of whether a claim is based on contract, tort, strict liability or otherwise, nor shall Buyer's damages exceed the amount of the purchase price of the Goods.
9. Taxes.
Buyer shall pay or reimburse Seller as appropriate for any sales, use, excise or other tax imposed or levied with respect to the payment of the purchase price for the Goods or the conveyance of title in the Goods to Buyer. In no event shall Buyer be responsible for any tax imposed upon Seller based upon Seller's income or for the privilege of doing business.
10. Notices.
Any notice required by this Agreement or given in connection with it, shall be in writing and shall be given to the appropriate party by personal delivery or by certified mail, postage prepaid, or recognized overnight delivery services.

11. Governing Law.
This Agreement shall be construed and enforced in accordance with the laws of the state of Florida.
12. Final Agreement.
This Agreement terminates and supersedes all prior understandings or agreements on the subject matter hereof. This Agreement may be modified only by a further writing that is duly executed by both parties.
13. Severability.
If any term of this Agreement is held by a court of competent jurisdiction to be invalid or unenforceable, then this Agreement, including all of the remaining terms, will remain in full force and effect as if such invalid or unenforceable term had never been included.
14. Headings.
Headings used in this Agreement are provided for convenience only and shall not be used to construe meaning or intent.

Translation - Spanish CONTRATO DE COMPRAVENTA
Este Contrato de Compraventa ("Contrato") se ha celebrado y firmado hoy, 29 de julio de 1997, entre XXX, Inc., una empresa de Florida ("Vendedor") y AAA, S.A., una empresa de Buenos Aires, Argentina ("Comprador).
El Vendedor desea vender al Comprador, y el Comprador desea comprar al Vendedor, ciertos bienes muebles y tangibles.
POR LO TANTO, en virtud de los compromisos mutuos contraídos en este contrato, las partes han acordado lo siguiente:
1. Venta
El Vendedor acuerda vender, transferir y ceder al Comprador, y el Comprador acuerda comprar los siguientes bienes muebles (la "Mercadería"). Cien (100) modems externos U.S. BBB BBB V. 34.
2. Precio

3. Envío
El Vendedor entregará la mercadería a un transportista (seleccionado por el Comprador) de la siguiente manera: el Vendedor entregará la mercadería al transportista a determinar, cuyas instalaciones se encuentren en un área dentro de las cinco millas del Aeropuerto Internacional de Miami. El comprador es totalmente responsable de los gastos de envío. El riesgo de pérdida resultante de accidentes sin importar la causa, correrán por cuenta y riesgo del Comprador según se establece más adelante. En lo posible, el Vendedor seguirá las instrucciones de envío del Comprador. Si no hubiere especificaciones al respecto, el Vendedor usará su propio criterio para elegir el método más adecuado de transporte.
4. Derecho de Inspección
El Comprador tiene el derecho de inspeccionar la mercadería cuando ésta llegue a destino. Dentro de los primeros treinta (30) días hábiles de recibida, el Comprador debe notificar al Vendedor de cualquier reclamo con respecto a la condición, calidad o grado de la mercadería o su disconformidad con el Contrato, especificando detalladamente la base de su reclamo. El incumplimiento de estas condiciones por parte del comprador en el plazo establecido más adelante constituirá la aceptación irrevocable de la mercadería. En caso de que la mercadería no sea conforme a este Contrato, el único recurso del Comprador y la única obligación del Vendedor será, a opción del Vendedor, reemplazar la mercadería ,cuyos gastos correrán por cuenta del Vendedor, o acreditar el importe correspondiente a la cuenta del Comprador. Los gastos de flete por devolución serán responsabilidad del Vendedor.
5. Identificación de la mercadería.
La identificación de la mercadería no se considerará realizada hasta que ambos, el Comprador y el Vendedor, hayan especificado que la mercadería sea la apropiada para el cumplimiento de este contrato.
6. Garantía.
El Vendedor garantiza que los materiales y mano de obra de la mercadería serán de buena calidad y libre de material defectuoso por un período de noventa días a partir de la fecha de entrega al Comprador. Si cualquiera de las mercaderías aquí vendidas no satisface esta garantía limitada, el Comprador notificará al Vendedor dentro de los cinco días siguientes de la expiración del período de garantía. Si alguna de las mercaderías no fueren conformes a esta garantía, el único recurso del Comprador y la única obligación del Vendedor es la de reemplazar los artículos defectuosos, con gastos a cargo del Vendedor, o reembolsar el importe de compra. A EXCEPCIÓN DE LO AQUÍ ESTABLECIDO, EL VENDEDOR NO GARANTIZA AL COMPRADOR CON RESPECTO A LAS MERCADERÍA Y EL COMPRADOR RENUNCIA A TODAS OTRAS GARANTÍAS EXPRESAS O IMPLÍCITAS INCLUYENDO, A TITULO ENUNCIATIVO, LAS GARANTÍAS IMPLÍCITAS DE COMERCIABILIDAD O DE APTITUD PARA UN FIN ESPECÍFICO.
7. Transferencia del título.
El título ni la propiedad de la mercadería se transfieren del Vendedor al Comprador hasta que el Comprador haya pagado en su totalidad el precio de compra al Vendedor.
8. Limitación de responsabilidades.
En ningún caso el vendedor es responsable de ningún daño especial, indirecto, accidental, consecuentes, emergentes o en conexión con este Contrato o las mercaderías sin perjuicio de que la acción entablada sea contractual, por responsabilidad civil extra contractual, responsabilidad estricta o de cualquier tipo, siempre que los daños del Comprador no excedan el monto del precio de la compra de la mercadería.
9. Impuestos.
El comprador pagará o reembolsará al Vendedor cualquier gravamen sobre las ventas, uso, consumo, o cualquier otro gravamen impuesto con respecto al pago del precio de compra de la mercadería o traspaso de título de la misma al Comprador. En ningún caso el Comprador será responsable de cualquier gravamen impuesto al Vendedor basado en su ingreso o en sus actividades comerciales.
10. Notificaciones.
Cualquier notificación requerida por este contrato o cursada en conexión con éste será por escrito y entregada a la parte interesada personalmente, o por correo certificado, con franqueo pago o por algún servicio reconocido de entrega el día siguiente.

11. Ley vigente.

13. División del Contrato
Si los tribunales de una jurisdicción competente consideran que cualquiera de los términos de este Contrato es inválido o inejecutable, este Contrato, incluyendo todos los términos restantes, se mantendrán totalmente vigentes y en vigor como si dicho término inválido o inejecutable jamás hubiese sido incluído.
14. Encabezados.
Los encabezados en este Contrato se proporcionan únicamente con fines prácticos y no se deberán emplear para analizar el significado o intención.
