Source text - Hungarian 4. A vételi jog gyakorlásának módja. A vételi jog hatályának fennállta alatt Jogosult vételi jogát oly módon gyakorolja, hogy amennyiben Kötelezett a Megállapodásban meghatározott fizetési kötelezettségének határidőben nem tesz, akkor Jogosult külön nyilatkozatban értesíti Kötelezettet arról, hogy a vételi jogával él. Jogosult jelen pontban rögzített, a vételi jog gyakorlásáról szóló írásbeli értesítésének kézhezvételével Jogosult minden további jognyilatkozat nélkül, jelen pontban rögzített értesítésével létrehozza az Eszközökre vonatkozó adásvételi szerződést. A postai úton küldött vételi jog gyakorlásáról szóló külön nyilatkozat a feladástól számított 8. munkanapon kézhez vettnek tekintendő.
5. A vételi jog gyakorlására jogosult személy. A vételi jog gyakorlására a Jogosult a Kötelezett hozzájárulása nélkül állíthat maga helyett más személyt. Kötelezett a jelen Opciós Szerződés aláírásával feltétlenül és visszavonhatatlan hozzájárul ahhoz, hogy a Jogosult az általa a vételi jog gyakorlására esetlegesen kijelölt harmadik személyt annak kérésére tájékoztassa a Kötelezett Eszközökhöz kapcsolódó kötelezettségeiről és a Megállapodásról.
12. Részleges érvénytelenség. Amennyiben a jelen Opciós Szerződés bármely rendelkezését bármely bíróság vagy bármely egyéb illetékes döntőbíróság kikényszeríthetetlennek vagy érvénytelennek ítéli, akkor ez a jelen Opciós Szerződés többi rendelkezésének érvényességét, törvényességét és érvényesíthetőségét semmilyen módon nem befolyásolhatja vagy csorbíthatja. Ebben az eseten Felek mindent megtesznek és jóhiszemű tárgyalásokat folytatnak annak érdekében, hogy az így érvénytelennek vagy érvényesíthetetlennek talált rendelkezést helyettesítő, kölcsönösen elfogadható rendelkezés feltételeit kidolgozzák.
Translation - English 4. Method of exercising the option. During the life of the option, the Obligee shall exercise its option in such a manner that if the Obligor fails to fulfil its payment obligation specified in the Agreement by the deadline, the Obligee shall in a separate declaration notify the Obligor of its intention to exercise the option. Upon receipt of the written declaration of the Obligee set forth herein to exercise the option, the Obligee shall without further notice conclude upon its notice set forth herein the purchase and sale agreement concerning the Assets. The separate declaration to exercise the option sent by post shall be deemed to have been received on the 8th workday calculated from its posting.
5. Person authorised to exercise the option. The Obligee may appoint an alternate person to exercise the option without the consent of the Obligor. By signing this Option Contract, the Obligor unconditionally and irrevocably consents that the Obligee may inform such alternate person occasionally appointed to exercise the option, upon her/his request, about the obligations of the Obligor pertaining to the Assets and about the Agreement.
12. Severability. In the event that any provision of this Option Contract is judged by any court of law or other competent court of arbitration to be unenforceable or invalid, it shall not affect the validity, legality and enforceability of the remaining provisions of this Option Contract. In such event the Parties shall do their best endeavours to enter into negotiations in good faith in order to elaborate the conditions of a mutually acceptable provision to replace the provision that was found invalid or unenforceable.
