SANCTIONABLE PRACTICES
The purpose of these Guidelines is to clarify the meaning of the terms “Corrupt Practices”, “Fraudulent Practices”, “Coercive Practices”, “Collusive Practices” and “Obstructive Practices” in the context of the Issuer’s operations.
1. Corrupt Practices
A “Corrupt Practice” is the offering, giving, receiving or soliciting, directly or indirectly, of anything of value to influence improperly the actions of another party.
Interpretation
A. Corrupt practices are understood as kickbacks and bribery. The conduct in question must involve the use of improper means (such as bribery) to violate or derogate a duty owed by the recipient in order for the payor to obtain an undue advantage or to avoid an obligation. Antitrust, securities and other violations of law that are not of this nature are excluded from the definition of corrupt practices.
B. It is acknowledged that foreign investment agreements, concessions and other types of contracts commonly require investors to make contributions for bona fide social development purposes or to provide funding for infrastructure unrelated to the project. Similarly, investors are often required or expected to make contributions to bona fide local charities. These practices are not viewed as Corrupt Practices for purposes of these definitions, so long as they are permitted under local law and fully disclosed in the payor’s books and records. Similarly, an investor will not be held liable for corrupt or fraudulent practices committed by entities that administer bona fide social development funds or charitable contributions.
C. In the context of conduct between private parties, the offering, giving, receiving or soliciting of corporate hospitality and gifts that are customary by internationally-accepted industry standards shall not constitute corrupt practices unless the action violates applicable law.
D. Payment by private sector persons of the reasonable travel and entertainment expenses of public officials that are consistent with existing practice under relevant law and international conventions will not be viewed as Corrupt Practices.
E. The World Bank group does not condone facilitation payments. For the purposes of
implementation, the interpretation of “Corrupt Practices” relating to facilitation payments will take into account relevant law and international conventions pertaining to corruption.
2. Fraudulent Practices
A “Fraudulent Practice” is any action or omission, including misrepresentation that knowingly or recklessly misleads, or attempts to mislead, a party to obtain a financial benefit or to avoid an obligation.
Interpretation
A. An action, omission, or misrepresentation will be regarded as made recklessly if it is made with reckless indifference as to whether it is true or false. Mere inaccuracy in such information, committed through simple negligence, is not enough to constitute a “Fraudulent Practice” for purposes of this Agreement.
B. Fraudulent Practices are intended to cover actions or omissions that are directed to or against a World Bank group entity or CIFI. It also covers Fraudulent Practices directed to or against a World Bank group member country in connection with the award or implementation of a government contract or concession in a project financed by the World Bank group. Frauds on other third parties are not condoned but are not specifically sanctioned in CIFI, MIGA or PRG. Similarly, other illegal behavior is not condoned, but will not be considered as a Fraudulent Practice for purposes of this Indenture.
3. Coercive Practices
A “Coercive Practice” is impairing or harming, or threatening to impair or harm, directly or indirectly, any party or the property of the party to influence improperly the actions of a party.
Interpretation
A. Coercive Practices are actions undertaken for the purpose of bid rigging or in connection with public procurement or government contracting or in furtherance of a Corrupt Practice or a Fraudulent Practice.
B. Coercive Practices are threatened or actual illegal actions such as personal injury or abduction, damage to property, or injury to legally recognizable interests, in order to obtain an undue advantage or to avoid an obligation. It is not intended to cover hard bargaining, the exercise of legal or contractual remedies or litigation.
4. Collusive Practices
A “Collusive Practice” is an arrangement between two or more parties designed to achieve an improper purpose, including to influence improperly the actions of another party.
Interpretation
Collusive Practices are actions undertaken for the purpose of bid rigging or in connection with public procurement or government contracting or in furtherance of a Corrupt Practice or a Fraudulent Practice.
5. Obstructive Practices
An “Obstructive Practice” is (i) deliberately destroying, falsifying, altering or concealing of evidence material to the investigation or making of false statements to investigators, in order to materially impede a World Bank group or CIFI investigation into allegations of a corrupt, fraudulent, coercive or collusive practice, and/or threatening, harassing or intimidating any party to prevent it from disclosing its knowledge of matters relevant to the investigation or from pursuing the investigation, or (ii) acts intended to materially impede the exercise of the CIFI’s access to contractually required information in connection with a World Bank group or CIFI investigation into allegations of a corrupt, fraudulent, coercive or collusive practice.
Interpretation
Any action legally or otherwise properly taken by a party to maintain or preserve its regulatory, legal or constitutional rights such as the attorney-client privilege, regardless of whether such action had the effect of impeding an investigation, does not constitute an Obstructive Practice.
General Interpretation
A person should not be liable for actions taken by unrelated third parties unless the first party participated in the prohibited act in question.

PRÁTICAS SANCIONÁVEIS
O objetivo dessas Diretrizes é esclarecer o significado dos termos "Práticas Corruptas", "Práticas Fraudulentas", "Práticas Coercitivas", "Práticas de Conluio" e "Práticas Obstrutivas" no contexto das operações do Emissor.
1. Práticas Corruptas
Uma "Prática Corrupta" é a oferta, entrega, recebimento ou solicitação, direta ou indiretamente, de qualquer valor para influenciar indevidamente as ações de outra parte.
Interpretação
A. As práticas corruptas são entendidas como propinas e subornos. O comportamento em questão deve envolver o uso de meios impróprios (como o suborno) para violar ou derrogar um dever do destinatário, para que o pagador obtenha uma vantagem indevida, ou evite uma obrigação. Antitrust, garantias e outras violações de leis que não sejam desta natureza são excluídos da definição de práticas corruptas.
B. Reconhece-se que os acordos de investimento estrangeiro, concessões e outros tipos de contratos geralmente exigem que os investidores façam contribuições para fins de desenvolvimento social de boa-fé, ou para financiar infra-estruturas não relacionadas ao projeto. Da mesma forma, os investidores geralmente são obrigados ou esperam fazer contribuições para instituições de caridade locais de boa-fé. Essas práticas não são vistas como Práticas Corruptas para fins dessas definições, desde que sejam permitidas de acordo com a lei local, e totalmente divulgadas nos livros e registros do pagador. Da mesma forma, um investidor não será responsabilizado por práticas corruptas ou fraudulentas cometidas por entidades que administrem fundos de desenvolvimento social ou contribuições de caridade de boa-fé.
C. No contexto da conduta entre particulares, a oferta, a entrega, o recebimento ou a solicitação de hospitalidade corporativa e os presentes que são comuns pelos padrões internacionalmente aceitos pela indústria não devem constituir práticas corruptas, a menos que a ação viole as leis aplicáveis.
D. O pagamento por pessoas do setor privado das despesas razoáveis de viagem e entretenimento de funcionários públicos, que sejam consistentes com a prática existente de acordo com leis relevantes e convenções internacionais, não será visto como prática corrupta.
E. O grupo do Banco Mundial não tolera pagamentos de facilitação. Para os fins de
implementação, a interpretação de "Práticas Corruptas" relativa aos pagamentos de facilitação levará em consideração as leis relevantes e as convenções internacionais relativas à corrupção.
2. Práticas Fraudulentas
Uma "Prática Fraudulenta" é qualquer ação ou omissão, incluindo falsas declarações que, conscientemente ou imprudentemente, induzem a engano, ou tentam enganar, uma parte para obter um benefício financeiro ou para evitar uma obrigação.
Interpretação
A. Uma ação, omissão ou representação falsa será considerada como feita imprudentemente se for feita com indiferença imprudente sobre se é verdadeira ou falsa. A falta de exatidão nessa informação, cometida por simples negligência, não é suficiente para constituir uma "Prática Fraudulenta" para os fins deste Contrato.
B. As práticas fraudulentas destinam-se a cobrir ações ou omissões dirigidas a ou contra uma entidade do grupo do Banco Mundial ou CIFI. Abrange também práticas fraudulentas direcionadas a ou contra um país membro do grupo do Banco Mundial em conexão com a concessão ou a implementação de um contrato ou concessão do governo em um projeto financiado pelo grupo do Banco Mundial. As fraudes sobre outros terceiros não são toleradas, mas não são especificamente sancionadas na CIFI, MIGA ou PRG. Da mesma forma, outros comportamentos ilegais não são tolerados, mas não serão considerados Práticas Fraudulentas para fins desta Escritura.
3. Práticas Coercitivas
Uma "Prática Coercitiva" significa comprometer ou prejudicar, ou ameaçar comprometer ou prejudicar, direta ou indiretamente, qualquer parte ou propriedade da parte para influenciar indevidamente as ações de uma parte.
Interpretação
A. As Práticas coercivas são ações empreendidas com o propósito de manipulação de ofertas ou em conexão com contratos públicos ou contratação do governo ou em favor de uma Prática Corrupta ou uma Prática Fraudulosa.
B. As Práticas Coercivas são ameaças ou ações ilegais reais, como lesões corporais ou abduções, danos à propriedade ou danos a interesses legalmente reconhecíveis, a fim de obter uma vantagem indevida ou evitar uma obrigação. Não se destina a cobrir negociações difíceis, o exercício de recursos legais ou contratuais ou litígios.
4. Práticas de Conluio
Uma "Prática de Conluio" significa um acordo entre duas ou mais partes projetado para alcançar um propósito impróprio, inclusive para influenciar indevidamente as ações de outra parte.
Interpretação
As Práticas de Conluio são ações empreendidas com o propósito de manipulação de licitação ou em conexão com contratos públicos ou contratação do governo ou em prol de uma Prática Corrupta ou de uma Prática Fraudulenta.
5. Práticas Obstrutivas
Uma “Prática Obstrutiva" é (i) destruir, falsificar, alterar ou dissimular deliberadamente material de prova para a investigação ou fazendo declarações falsas aos investigadores, a fim de impedir materialmente uma investigação do grupo do Banco Mundial ou da CIFI sobre alegações de práticas corruptas, fraudulentas, coercitivas ou de conluio e/ou ameaça, assédio ou intimidação de qualquer parte para impedir que divulgue seu conhecimento de assuntos relevantes para o inquérito ou para a investigação, ou (ii) atos destinados a impedir materialmente o exercício da CIFI do acesso de exigir informações contratualmente relacionadas com investigação do grupo do Banco Mundial ou da CIFI sobre alegações de uma prática corrupta, fraudulenta, coercitiva ou de conluio.
Interpretação
Qualquer ação legal ou de outra forma devidamente tomada por uma parte para manter ou preservar seus direitos regulatórios, legais ou constitucionais, como o privilégio advogado-cliente, independentemente de tal ação ter o efeito de impedir uma investigação, não constitui uma prática obstrutiva.
Interpretação Geral
Uma pessoa não deve ser responsável por ações tomadas por terceiros não relacionados, a menos que a primeira parte tenha participado do ato proibido em questão.

Source text - English 6. CONCERNING THE TRUSTEE
6.1 Certain Rights and Duties of Trustee and Authorized Agents
(a) The Trustee, prior to the occurrence of an Event of Default, undertakes to perform only such duties as are specifically set forth in the Financing Documents, and no implied covenants or obligations shall be read into this Indenture against the Trustee. In case an Event of Default has occurred (which has not been cured or waived) and prior to the receipt of instructions (if any) from the Noteholders, the Trustee shall exercise such of the rights and powers vested in it by this Indenture, and use the same degree of care and skill in their exercise, as a prudent person would exercise or use under the circumstances in the conduct of his or her own affairs.
(b) (i) The Trustee may conclusively rely and shall be fully protected in acting, or refraining from acting, upon any resolution, certificate, statement, instrument, opinion, report, notice, request, consent, order, Note or other paper or document (whether in original or facsimile form) believed by it in good faith to be genuine and to have been signed or presented by the proper party or parties; provided, that in the case of any such certificates or opinions which by the provisions hereof are specifically required to be furnished to the Trustee, the Trustee shall be under a duty to examine the same to determine whether or not they conform to the requirements of this Indenture but need not verify the contents thereof.
(ii) Any request, direction, order or demand of the Issuer mentioned herein shall be sufficiently evidenced by an Officer’s Certificate (unless other evidence in respect thereof be herein specifically prescribed); and any resolution of the Board of Directors of the Issuer shall be evidenced to the Trustee by a copy thereof certified by a member of the Board of Directors of the Issuer. Whenever in the administration of this Indenture, the Trustee shall deem it desirable that a matter be proved or established prior to taking, suffering or omitting any action hereunder, the Trustee (unless other evidence be herein specifically prescribed) may, in the absence of bad faith on its part, rely on an Officer’s Certificate.
(iii) The Trustee shall be under no obligation to exercise any of the trusts or powers vested in it by this Indenture, and may refuse to perform any duty or exercise any such rights or powers unless the Noteholders have offered to the Trustee security or indemnity to its satisfaction against the costs, expenses and liabilities which may reasonably be incurred therein or thereby.
(iv) The Trustee shall not be liable for any action taken, suffered or omitted by it in good faith and believed by it in good faith to be authorized or within the discretion or rights or powers conferred upon it by this Indenture or with respect to any action it takes or omits to take in good faith in accordance with a direction received by it from the Majority Noteholders.
(v) Subject to Section 6.1(b)(i), the Trustee shall not be bound to make any investigation into the facts or matters stated in any resolution, certificate, statement, instrument, opinion, report, notice, request, consent, order, approval, appraisal, Note or other paper or document with respect to the Notes unless requested in writing so to do by the Majority Noteholders then Outstanding; provided, that, if the payment within a reasonable time to the Trustee of the reasonable costs, expenses or liabilities likely to be incurred by it in the making of such investigation is, in the opinion of the Trustee, not reasonably assured to the Trustee by the security afforded to it by the terms of this Indenture, the Trustee may require security or indemnity satisfactory to it against such expenses or liabilities as a condition to so proceeding. The reasonable expense of every such investigation shall be paid by the Issuer or, if paid by the Trustee, shall be repaid by the Issuer upon demand.
(vi) The Trustee may execute any of the trusts or powers hereunder or perform any duties hereunder either directly or by or through agents, attorneys, custodians or nominees and the Trustee shall not be responsible for any willful misconduct or negligence on the part of any agent, attorney custodian or nominee appointed with due care by it hereunder.
(vii) The Trustee shall not be liable for any error of judgment made in good faith by a responsible officer or responsible officers of the Trustee unless it shall be proved that the Trustee was grossly negligent in ascertaining the pertinent facts.
(viii) The Trustee shall not be liable with respect to any action taken or omitted to be taken by it in good faith in accordance with any direction of the Issuer given under this Indenture which it believes to be authorized or within its rights or powers unless it shall be proved that the Trustee was grossly negligent in ascertaining the pertinent facts.
(ix) The Trustee shall have no obligation to invest and reinvest any cash held pursuant to this Indenture, unless agreed upon in writing with the Issuer.
(x) The Trustee shall not be deemed to have notice of any Default or Event of Default unless a written notice of any event which is in fact such a Default or Event of Default is received by a Responsible Officer of the Trustee at the Corporate Trust Office of the Trustee, and such notice references the Notes and this Indenture; provided, however, that the Trustee shall be deemed to have actual knowledge of the existence of any Default or Event of Default which has arisen pursuant to the provisions of Section 5.1(a).
(xi) The rights, privileges, protections, immunities and benefits given to the Trustee, including, without limitation, its right to be indemnified, are extended to, and shall be enforceable by, the Trustee in each of its capacities hereunder as Trustee, Note Registrar and Paying Agent, and each Authorized Agent, agent, custodian and other Person employed to act hereunder.
(xii) The Trustee may request that the Issuer deliver an Officer’s Certificate setting forth the names of individuals and/or titles of Authorized Representatives of the Issuer authorized at such time to take specified actions pursuant to this Indenture, which Officer’s Certificate may be signed by any Person authorized to sign an Officer’s Certificate for the Issuer, including any Person specified as so authorized in any such certificate previously delivered and not superseded.
(xiii) The Issuer undertakes to indemnify each Paying Agent against all losses, liabilities, including any and all tax liabilities other than income taxes relating to fees or remuneration paid to such Paying Agent for its services as Paying Agent, which, for the avoidance of doubt, shall include Brazilian Taxes and associated penalties, costs claims, actions, damages, expenses or demands which any of them may incur or which may be made against any of them as a result of or in connection with the appointment of or the exercise of the powers and duties by such Paying Agent under this Indenture except as may result from its own negligence or bad faith.
(xiv) The Issuer acknowledges that the Paying Agent makes no representations as to the interpretation or characterization of the transaction herein undertaken for tax or any other purpose, in any jurisdiction. The Issuer represents that it has fully satisfied itself as to any tax impact before agreeing to the terms herein, and, other than as expressly provided herein, is responsible for any and all federal, state, local, income, franchise, withholding, value added, sales, use, transfer, stamp or other taxes imposed by any jurisdiction in respect of this Indenture.
(xv) The Issuer agrees to pay any and all stamp and other documentary taxes or duties which may be payable in connection with the execution, delivery, performance and enforcement of a Financing Document by the Paying Agent.
(xvi) Each payment in full of principal, Additional Amounts and/or interest payable in respect of any Note made by or on behalf of the Issuer to or to the order of the Paying Agent in the manner specified herein on the date due shall be valid and effective to satisfy and discharge the obligation of the Issuer to make payment of principal, Additional Amounts and/or interest payable under the Notes on such date; provided that the liability of the Paying Agent shall not exceed any amounts paid to it by the Issuer or held by it, on behalf of the Noteholders under this Indenture; and provided further, that in the event that there is a default by the Paying Agent in any payment of principal, Additional Amounts and/or interest in respect of any Note, the Issuer shall pay on demand such further amounts as will result in receipt by the Noteholder of such amounts as would have been received by it had no such default occurred.

6.1 Certos Direitos e Deveres do Administrador e Agentes Autorizados
(a) O Administrador, antes da ocorrência de um Evento de Inadimpledimento, compromete-se a desempenhar apenas os deveres especificamente descritos nos Documentos de Financiamento, e nenhuma obrigação ou obrigações implícitas devem ser lidas nesta Escritura contra o Administrador. No caso de ocorrido um Evento de Inadimpledimento (que não tenha sido remediado ou isento) e antes do recebimento das instruções (se houver) dos Portadores, o Administrador exercerá os direitos e poderes conferidos por esta Escritura, e usará do mesmo grau de cuidado e habilidade em seu exercício, como uma pessoa prudente exercitaria ou usaria nas circunstâncias na condução de seus próprios assuntos.
(b) (i) O Administrador pode confiar de forma conclusiva e estará totalmente protegido ao agir, ou abster-se de agir, em qualquer resolução, certificado, declaração, instrumento, opinião, relatório, aviso, pedido, consentimento, ordem, Título ou outro processo ou documento (seja de forma original ou facsimilada) considerado por ele em boa fé de ser genuíno e assinado ou apresentado pela parte ou partes apropriadas; desde que, no caso de quaisquer certificados ou pareceres que, pelas disposições deste documento, sejam especificamente obrigados a ser fornecidos ao Administrador, o Administrador terá o dever de examiná-los para determinar se eles estão ou não de acordo com os requisitos desta Escritura, mas não precisará verificar seu conteúdo.
(ii) Qualquer pedido, direção, ordem ou demanda do Emissor mencionado neste documento deve ser suficientemente comprovado por um Certificado dos Diretores (a menos que outras provas a estejam especificadas especificamente); e qualquer deliberação do Conselho de Administração do Emissor deverá ser comprovada ao Administrador por uma cópia certificada por um membro do Conselho de Administração do Emissor. Sempre que na administração desta Escritura, o Administrador julgará desejável que uma questão seja provada ou estabelecida antes de tomar, sofrer ou omitir qualquer ação nos termos do presente, o Administrador (a menos que outras provas sejam especificamente prescritas) poderá, na ausência de erros fé por sua vez, confiar em um Certificado dos Diretores.
(iii) O Administrador não terá a obrigação de exercer nenhum dos trusts ou poderes que lhe sejam conferidos pela presente Escritura, e poderá recusar-se a exercer qualquer dever ou exercer tais direitos ou poderes, a menos que os Portadores tenham oferecido a garantia ou indenização ao Administrador, à sua satisfação, contra os custos, despesas e passivos que possam ser razoavelmente assim ou nele incorridos.
(iv) O Administrador não será responsável por qualquer ação tomada, sofrida ou omitida por ele de boa fé, e acreditada por ele de boa fé de ser autorizada ou de etar dentro de seu critério ou direitos ou poderes conferidos por esta Escritura, ou com relação a qualquer ação ele tomar ou deixar de tomar de boa fé, de acordo com uma direção recebida por ele dos Portadores Majoritários.
(v) Sujeito à Seção 6.1 (b) (i), o Administrador não será obrigado a fazer qualquer investigação sobre os fatos ou assuntos declarados em qualquer resolução, certificado, declaração, instrumento, parecer, relatório, aviso, pedido, consentimento, ordem, aprovação, avaliação, Título ou outro documento ou documento com relação aos Títulos, a menos que seja solicitado por escrito pelos Portadores Majoritários de Títulos então Em Circulação que seja feito; desde que, caso o pagamento dentro de um prazo razoável para o fiduciário dos custos razoáveis, despesas ou passivos susceptíveis de serem incorridos por ele na realização dessa investigação não estiver, na opinião do Administrador, razoavelmente assegurada ao Administrador pelas a garantias asseguradas pelos termos desta Escritura, o Administrador poderá exigir uma garantia ou indenização satisfatória contra essas despesas, ou responsabilidades, como condição para o processo. A despesa razoável de cada investigação será paga pelo Emissor ou, se paga pelo Administrador, será reembolsada pelo Emissor mediante solicitação.
(vi) O Administrador pode executar qualquer dos trusts ou poderes aqui descritos ou desempenhar quaisquer deveres aqui descritos, diretamente, ou por ou através de agentes, advogados, depositários ou nomeados, e o Administrador não será responsável por qualquer improbidade intencional ou negligência por parte de qualquer agente, advogado ou nomeado, nomeados com o devido cuidado por ele aqui previsto.
(vii) O Administrador não será responsável por qualquer erro de julgamento feito em boa fé por um oficial responsável ou responsáveis do Administrador, a menos que seja provado que o Administrador foi gravemente negligente na verificação dos fatos pertinentes.
(viii) O Administrador não será responsável em relação a qualquer ação tomada ou omitida por ele em boa fé de acordo com qualquer direção do Emissor dada sob esta Escritura que acredite ser autorizado ou que esteja dentro de seus direitos ou poderes, a menos que seja provado que o fiduciário foi gravemente negligente na verificação dos fatos pertinentes.
(ix) O Administrador não terá obrigação de investir e reinvestir qualquer dinheiro detido de acordo com esta Escritura, a menos que seja acordado por escrito com o Emissor.
(x) Não se considerará que o Administrador tenha sido comunicado de qualquer Inadimpledimento ou Evento de Inadimpledimento, a menos que uma notificação por escrito de qualquer evento que seja de fato tal Inadimpledimento ou Evento de Inadimpledimento tenha sido recebido por um Diretor Responsável do Administrador no Corporate Trust Office do Administrador, e tal comunicação faça referência aos Títulos e à presente Escritura; desde que, no entanto, se considere que o Administrador tenha conhecimento real da existência de qualquer Inadimpledimento ou Evento de Inadimpledimento que tenha surgido de acordo com o disposto na Seção 5.1 (a).
(xi) Os direitos, privilégios, proteções, imunidades e benefícios concedidos ao Administrador, incluindo, sem limitação, o direito de ser indenizado, são extendidos ao, e serão executáveis pelo Administrador em cada uma das suas capacidades sob o título de Administrador, Agente de Registro e Agente Pagador, e cada Agente Autorizado, agente, guardião e outra Pessoa empregada para agir de acordo com a presente Escritura.
(xii) O Administrador pode solicitar que o Emissor entregue um Certificado dos Diretores indicando os nomes de indivíduos e/ou títulos de Representantes Autorizados do Emissor autorizados no momento a tomar ações especificadas de acordo com esta Escritura, e tal Certificado dos Diretores poderá ser assinado por qualquer Pessoa autorizada a assinar um Certificado dos Diretores para o Emissor, incluindo qualquer Pessoa especificada como autorizada em qualquer Certificado previamente entregue e não substituído.
(xiii) O Emissor compromete-se a indenizar cada Agente Pagador de todas as perdas, passivos, incluindo qualquer e todos os passivos tributários, além dos impostos sobre rendimento relativos a honorários ou remunerações pagas a esse Agente Pagador por seus serviços como Agente Pagador, o que, para evitar dúvidas, incluem impostos brasileiros e penalidades associadas, reinvindicações de custos, ações, danos, despesas ou solicitações que qualquer um pode incorrer ou que possam ser feitas contra qualquer um deles como resultado ou em conexão com a nomeação ou o exercício dos poderes e direitos por esse Agente Pagador ao abrigo desta Escritura, exceto os que possam resultar de sua própria negligência ou má fé.
(xiv) O Emissor reconhece que o Agente Pagador não faz representações quanto à interpretação ou caracterização da transação aqui realizada para tributação ou qualquer outro propósito, em qualquer jurisdição. O Emissor declara que ficou totalmente satisfeito quanto a qualquer impacto tributário antes de concordar com os termos aqui contidos, e, exceto o expressamente previsto neste documento, é responsável por todos e quaisquer estados federais, estaduais, locais, renda, franquia, retenção, valor agregado, vendas, uso, transferência, selo ou outros impostos estabelecidos por qualquer jurisdição em relação a esta Escritura.
(xv) O Emissor concorda em pagar todos os impostos de selo e outros impostos documentais ou taxas que possam ser pagáveis em conexão com a execução, entrega, desempenho e cumprimento de um Documento de Financiamento pelo Agente Pagador.
(xvi) Cada pagamento em cheque de principal, Valores Adicionais e/ou juros a pagar em relação a qualquer Título feito por ou em nome do Emissor para ou ao pedido do Agente Pagador da forma especificada na data devida será válido e efetivo para satisfazer e cumprir a obrigação do Emissor de efetuar o pagamento de principal, Montantes Adicionais e/ou juros a pagar de acordo com os Títulos nessa data; desde que a responsabilidade do Agente Pagador não exceda quaisquer valores pagos pelo Emissor ou detidos por ele, em nome dos Portadores ao abrigo da presente Escritura; e, além disso, que, no caso de haver um inadimplemento pelo Agente Pagador em qualquer pagamento de principal, Valores Adicionais e/ou juros em relação a qualquer Título, o Emissor pagará sob solicitação outros montantes que resultarão no recebimento pelo Portador dos valores que teria sido recebido por ele quase não tivesse ocorrido tal inadimplemento.
